Terms of Service

You must be at least 18 years old & able to enter a binding contract to use Relay. If you use Relay for a business, an agency or a client, you confirm you have authority to accept these Terms for them.

You sign in with Google or Discord. Keep that account secure: anything done through your Relay account or a computer you have signed in to Relay is your responsibility. You can sign a computer out from the app’s account menu. Contact our team if you think someone else has access.

Each subscription is for you & the people you authorize under your plan. Do not resell or share access beyond that.

Relay is a desktop app & a website. The app runs a team of AI agents on your own computer that help you plan, research, script, package, review & publish YouTube videos. The website handles your account, your plan & the download.

Your channels, videos, scripts, chats, agent memory & files are stored in a local database on your computer, not on our servers. Our servers only keep what is needed to run your account & subscription. The Privacy Policy lists exactly what that is.

Features & limits depend on your plan & may change as Relay develops. Features described as coming soon are not part of your purchase until they ship.

Relay runs on your own accounts. You connect an AI provider (such as Anthropic, OpenAI, xAI, Google or OpenRouter) with your own API key, & you may connect other tools such as ElevenLabs, Algrow, HeyGen or any MCP server.

• You pay them directly. Usage on those accounts is billed by the provider, not by Relay. Relay adds no markup. Spending caps in Relay are estimates to help you; your provider’s bill is the final word.
• Their terms apply. What you send to a provider is governed by that provider’s terms & privacy policy. You are responsible for following them, including their usage policies.
• Keys stay with you. Keys are stored on your computer & sent only to the service they belong to. We never receive them.

We do not control third-party services & are not responsible for their availability, pricing, outputs or changes.

Agents work from the instructions, routines, approvals & settings you give them. That includes browsing the web in Relay’s built-in browser, calling your connected tools, & running routines on a schedule while Relay is open.

You decide what needs your approval. By default, scripts, packaging & uploads wait for you. If you switch on automatic approval, autopilot or auto-publishing, you are instructing Relay to act without asking each time, & you are responsible for what it does under those settings.

When agents sign in to websites or use the built-in browser on your behalf, you are responsible for having the right to do so & for following those websites’ terms.

Relay is not affiliated with or endorsed by YouTube or Google. By using Relay’s YouTube features you also agree to the YouTube Terms of Service.

Publishing uses a browser profile you already control (through AdsPower) that is signed in to your channel. Relay uploads only to channels you own or are authorized to manage, & only after your approval or under an auto-publish setting you turned on. Relay does not create accounts, disguise browsers or bypass YouTube systems, & you must not use it to do so.

You are responsible for your channel’s compliance with YouTube’s policies, including disclosure of altered or synthetic content, monetization rules & community guidelines.

You keep all rights to what you bring to Relay & to what your agents produce for you, to the extent those rights exist. Relay claims no ownership of your scripts, titles, thumbnails, voice-overs, videos or ideas.

Because your content stays on your computer, we do not need a license to it to run the Service. If you send us content directly, for example in a support request, you allow us to use it only to respond to you.

AI outputs may resemble material made for others & may not be protectable by copyright. We do not promise that outputs are unique or free of third-party rights.

Relay’s software, design, brand & mascot remain ours. Your subscription gives you a personal, non-transferable license to install & use the app while your plan is active.

Agents can be wrong. Outputs may contain invented facts, outdated information, bias or material that uses someone else’s rights. Checks such as Relay’s final-video verification help, but they do not replace your review.

Before anything goes live, you are responsible for its accuracy, its rights clearances (music, footage, likenesses, trademarks) & any disclosures the law or YouTube requires. Relay does not give legal, financial, medical or other professional advice, & ideas, outlier research & suggestions do not guarantee views, growth or revenue.

You must not use Relay to:

• Infringe copyright, trademark, privacy or publicity rights, or reupload other creators’ work without permission.
• Impersonate a person or channel, fake endorsements, or mislead viewers about who made a video.
• Create or spread illegal content, harassment, hate, sexual content involving minors, or content that promotes serious harm.
• Run spam, view or engagement manipulation, fake accounts, or any scheme to game YouTube’s systems.
• Access accounts, profiles or systems you are not authorized to use.
• Break, overload or reverse-engineer Relay, or get around plan limits or license checks, except where the law allows it.
• Resell Relay or offer it as a service to others without our written permission.

Relay offers Starter & Pro plans, billed monthly or yearly. The price, channel allowance & features of each plan are shown on our pricing page & at checkout. Prices exclude taxes, which are added where required.

Payments are handled by our payment provider. Your subscription renews automatically at the end of each billing period until you cancel. You authorize our payment provider to charge your payment method for each renewal.

You can upgrade, downgrade, update your card or view invoices in the billing portal. Plan changes take effect as shown there before you confirm. We will give you notice before a price change applies to your renewal, so you can cancel first.

If a payment fails, our payment provider retries it & your access continues while it does. If the subscription ends as unpaid, the app locks until a plan is active again.

Cancel any time from the billing portal or from Settings → Account in the app. Cancelling stops the next renewal. You keep your plan until the end of the period you have paid for.

Fees cover access for the whole billing period, so we do not refund partial periods, unused time or a change of mind, except where the law requires a refund. If you believe you were charged in error, contact our team & we will look into it. Nothing here limits your rights under consumer law.

When your plan ends, the app stops working for agents & paid features, but your data stays on your computer. Uninstalling Relay does not delete it either; you can delete Relay’s data folder at any time.

Relay works with services we do not run, including Google, Discord, YouTube, AdsPower, payment providers, your AI providers & your connected tools. Your use of each is governed by its own terms & privacy policy. Services may change or become unavailable, & we may need to adjust or remove an integration when that happens.

We may suspend or end your access if you seriously or repeatedly break these Terms, fail to pay, use Relay unlawfully or put others at risk. Where it is reasonable, we will tell you why first & give you a chance to fix it. We may act immediately where waiting would cause harm or break the law.

You may stop using Relay & close your account at any time. Sections that by their nature should continue, such as ownership, disclaimers & liability, survive termination.

To the fullest extent the law allows, Relay is provided “as is” & “as available”, without warranties of merchantability, fitness for a particular purpose or non-infringement. We do not promise that Relay will be uninterrupted or error-free, or that outputs will meet your needs.

Your data lives on your computer, so keep your own backups. We cannot restore data that was never on our servers.

To the fullest extent the law allows, Relay & its team are not liable for indirect, incidental, special or consequential losses, including lost profits, revenue, views, channel strikes or data. Our total liability for any claim about Relay is limited to the amount you paid us in the 12 months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence.

If you use Relay for business, you agree to cover our reasonable costs from third-party claims caused by your content, your channel, your breach of these Terms or your violation of someone else’s rights. This does not apply to the extent a claim is caused by us.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Disputes will be heard in the state or federal courts located in Delaware. If you are a consumer, you keep any protections & any right to bring claims in your home courts that your local law gives you.

We may update these Terms as Relay changes. For material changes we will give you reasonable notice by email or in the app before they take effect. If you disagree, you can cancel before then. Continuing to use Relay after the change means you accept it.

These Terms, together with the Privacy Policy, the Data Processing Addendum where it applies & any terms shown at checkout, are the whole agreement between us. If one part is unenforceable, the rest still applies. Not enforcing a term is not a waiver. You may not transfer your account without our consent; we may transfer these Terms as part of a merger or sale of the business.
